Welcome to BrandX! These Terms and Conditions ("Terms") govern your use of our digital marketing services ("Services") provided by BrandX, located at A-27, Majestic Signia, Sector- 62, Noida, Uttar Pradesh, India ("we," "us," or "our"). By engaging with our Services, you agree to these Terms. Please read them carefully.

1. Services

BrandX provides a full range of digital marketing services, including but not limited to search engine optimization (SEO), social media management, content creation, email marketing, pay-per-click (PPC) advertising, and website optimization. The specific scope of services will be outlined in a separate agreement or proposal provided to you.

2. Eligibility

Our Services are available to customers from any segment—individuals, businesses, or organizations. You must be at least 18 years old and have the legal authority to enter into contracts to use our Services.

3. Payment Terms

• Fees for our Services will be specified in your service agreement.
• Payments are due within 15 days of receiving an invoice unless otherwise agreed in writing.
• Payments can be made via bank transfer, credit/debit card, or other methods specified by us.
• Late payments may incur a penalty of 2% per month on the outstanding amount.
• All fees are non-refundable unless explicitly stated in your agreement.

4. Client Responsibilities

• You agree to provide accurate information, materials, and access (e.g., website logins, customer data) necessary for us to perform the Services.
• You are responsible for ensuring that any content you provide complies with applicable laws and does not infringe on third-party rights (e.g., copyrights, trademarks).

5. Intellectual Property

• BrandX retains ownership of all tools, templates, and proprietary methods used to deliver Services.
• Any deliverables (e.g., content, designs, ad creatives) created for you will belong to you upon full payment, unless otherwise agreed.

6. Third-Party Tools

We may use third-party platforms such as Google Analytics, Facebook Marketing Tools, Twitter, LinkedIn, and Instagram to deliver Services. You acknowledge that these platforms have their own terms and privacy policies, which apply to your data processed through them.

7. Termination

• Either party may terminate the Services with 30 days' written notice, unless otherwise specified in your agreement.
• We reserve the right to suspend or terminate Services if you violate these Terms, fail to make payments, or engage in illegal activities.

8. Limitation of Liability

BrandX is not liable for indirect, incidental, or consequential damages arising from the use of our Services. Our total liability will not exceed the fees paid by you in the preceding 12 months.

9. Confidentiality

We will keep your confidential information private and use it only to provide the Services, unless required by law or with your consent.

10. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website (https://bxgsol.com), and continued use of our Services constitutes acceptance of the changes.

11. Governing Law

These Terms are governed by the laws of Uttar Pradesh, India. Any disputes will be resolved exclusively in the courts of Noida, Uttar Pradesh.
